Before confirming your booking, please take a moment to read through these terms. They exist to protect both of us and to make sure we're starting from a place of shared clarity. While the language here is necessarily legal in nature, it reflects the same values that guide my work — honesty, care, and respect for your autonomy. 1. KEY DEFINITIONS

Facilitator / We / I / Our / Us: Erika Hood / Transformative Tides LLC.

Client / Organization / You / Your: The individual, business, or organization booking and purchasing a Workplace or Corporate Sound Session through inquiry or invoicing.

Participant: Any employee, team member, or individual attending the session on behalf of or at the invitation of the Client.

Workplace Sound Session: A facilitated acoustic listening environment using live instruments including crystal singing bowls, chimes, and low-frequency resonance tones, provided at a workplace or organizational venue. Sessions are purely acoustic. There is no physical contact between the Facilitator and any participant at any time. Participation is always optional and consent-based.

Session pricing is confirmed in writing at booking and forms part of this agreement. Current pricing is available at www.transformativetides.com.

2. AGREEMENT AND CONSENT

By confirming your booking, you confirm that you have read, understood, and agree to be bound by these Terms on behalf of yourself and the organization you represent. If you have any questions or disagree with any part of these Terms, please contact us at erika@transformativetides.com before completing your booking.

You represent and warrant that you are at least 18 years old and legally authorized to enter into this agreement on behalf of your organization.

3. SCOPE OF SERVICES AND DISCLAIMERS

3.1 What We Provide

You will receive one facilitated Workplace Sound Session at the location, duration, participant count, and pricing confirmed in writing at booking. That written confirmation forms part of this agreement.

Sessions are shaped in real time in response to the listening environment. I bring all professional equipment and manage setup and breakdown. Access to the session space is needed 30 minutes before the session begins.

I will bring a written notice to the session that makes health considerations and participation options available to attendees. Placement is determined on the day in coordination with the space. I handle this — nothing is required of you.

I carry professional liability insurance ($2,000,000 per occurrence / $3,000,000 general aggregate) and will conduct all sessions with reasonable professional care.

Response Time: For scheduling and administrative inquiries, expect a reply within 24–48 hours on business days (Monday–Friday, 9–5 CST), excluding weekends, holidays, or when I am unavailable.

3.2 Nature of the Service

Workplace Sound Sessions offered through Transformative Tides LLC are non-clinical, non-religious, and non-directive acoustic listening experiences. They are not therapy, medical treatment, or mental health care and are not a substitute for professional care of any kind.

I do not diagnose conditions, prescribe treatment, offer medical or mental health advice, or make claims regarding the ability to heal the body, mind, or spirit. Participation is always optional. Participants may sit, lie down, step away, or leave at any time without explanation.

A brief verbal orientation is offered at the start of each session. Participants are asked to silence phones, settle in however feels comfortable, and know that at any point they are welcome to adjust, move further from the instruments, step outside, or leave. If something feels urgent — physically, emotionally, or otherwise — please say something rather than pushing through.

Participants are asked to refrain from alcohol and recreational substances for at least two hours before the session begins. Sound-based experiences can amplify the effects of substances and may produce unpredictable responses.

3.3 Voluntary Participation

The Client agrees to communicate to all participants that attendance is voluntary and that there will be no professional consequence for choosing not to participate. Transformative Tides LLC is not responsible for any claim arising from a participant's assertion that attendance was compelled or involuntary. The Client accepts responsibility for ensuring that voluntary participation is clearly communicated to their team prior to the session.

In the event that a claim arises from a participant's assertion that attendance was compelled or involuntary, the Client agrees to indemnify and hold harmless Transformative Tides LLC from any and all related claims, damages, and costs.

3.4 Health Considerations

Sound-based experiences may produce physical, emotional, or sensory responses. If any participant has health concerns related to sound or vibration — including sound sensitivity, epilepsy, metal implants, a pacemaker, or pregnancy — please encourage them to consult a physician before attending. Participants may also choose to sit at a distance from the instruments, step outside, or be in the space in whatever way feels right for them.

The Client is not required to collect health information from participants on behalf of Transformative Tides LLC. This information is available through this agreement, through the Facilitator directly, and through the written notice placed in the space so that anyone who needs it has access to it.

3.5 No Guarantees

No guarantees or warranties are made regarding the outcomes or experiences of any session. Individual responses to sound-based experiences vary and cannot be predicted. Any descriptions or examples on the Site are illustrative only and do not represent guaranteed results.

3.6 Limitations, Disclaimers, and Indemnification

By confirming your booking, you — as the Client and booking party — acknowledge that participation in a sound facilitation experience involves inherent risks — known and unknown — including physical, emotional, or sensory responses that cannot be predicted in advance. You confirm that you have organizational authority to make this representation on behalf of your organization and its employees or participants.

You agree to release, discharge, and hold harmless Erika Hood / Transformative Tides LLC, its agents and affiliates, from any and all claims, liabilities, damages, or costs of any kind arising from participant attendance at the session, including pre- and post-session periods.

This release does not apply to gross negligence, reckless conduct, or intentional misconduct on the part of the Facilitator.

If the safety or consent of the space is compromised during a session in a way that cannot be addressed within the session itself, I reserve the right to pause or conclude the session. If a single participant is asked to step out and the session continues for remaining participants, no adjustment to the session fee will be made. No refund will be issued where a session is concluded due to conduct.

In the event of a medical situation during a session, I will support whatever response is needed, including deferring to emergency services, venue contacts, or anyone on-site best positioned to help.

Limitation of Liability: To the fullest extent permitted by law, Transformative Tides LLC is not liable for any direct, indirect, incidental, or consequential damages arising from your booking or participant attendance at any session. Your sole remedy for any failure of service is a refund of amounts paid for services not rendered.

You agree to indemnify and hold harmless Erika Hood / Transformative Tides LLC and its agents and affiliates from all direct and third-party claims, demands, losses, causes of action, damages, lawsuits, expenses, fees, and costs arising from your booking, your organization's use of our services, or participant attendance at any session.

3.7 Errors and Omissions

Every effort is made to provide accurate, up-to-date information. However, Transformative Tides LLC does not warrant that all information is free from errors or current at all times. You should perform your own due diligence before relying on any information provided through the Site or sessions.

4. SPACE AND PREPARATION

The Client is responsible for providing a suitable session space. Please confirm the following before the session date:

Clear floor space sufficient for all participants to sit or lie down comfortably. A conference room, dedicated wellness space, or open floor area with furniture moved aside works well. The space should accommodate the full confirmed participant count without crowding.

A reasonably quiet environment. Excessive ambient noise — including open-plan office noise, construction, or adjacent meetings — can significantly affect the session experience. If the primary space is not suitable, please have an alternative available.

Comfortable temperature. Participants lying still will notice temperature more acutely. If the space has adjustable climate control, a slightly warmer setting than typical office temperature is recommended.

Lighting that can be dimmed or softened where possible. Full overhead fluorescent lighting is not ideal. If dimming is not available, please let me know in advance so I can bring supplementary lighting options.

An on-site point of contact with authority to make reasonable adjustments to the session space — including access to temperature controls, lighting, and the ability to minimize foot traffic through the session area — available for the full duration of the session.

If the designated point of contact is unavailable upon arrival, please ensure an alternative contact is reachable by phone. Please provide this backup contact information at least 24 hours before the session date.

Parking information and building access instructions provided at least 24 hours before the session date.

The Client is encouraged to review space requirements with their on-site facilities team before the session date to ensure suitability. Questions about space requirements can be directed to erika@transformativetides.com at any time.

If the session space is found to be unsuitable for facilitation upon arrival — including insufficient floor space, excessive noise, or safety concerns — and cannot be reasonably adjusted, I reserve the right to reschedule the session. In this circumstance the deposit will be held and applied to the rescheduled date.

5. PAYMENT AND BILLING

Session pricing is confirmed in writing at booking. Current pricing is available at www.transformativetides.com.

Payment is processed via Stripe invoice. Accepted payment methods include credit or debit card and ACH bank transfer. A formal invoice can be provided upon request for organizational billing and procurement purposes.

A 30% deposit is required at booking confirmation. The remaining balance is due net 15 following the session. For organizations unable to process deposit payments, full payment net 15 before the session date is required. Full payment at booking is also welcome.

Bookings made within 48 hours of the session date require full payment at the time of confirmation.

Participant Count:The session fee is based on the participant count confirmed at booking, which represents the minimum billable amount regardless of actual attendance on the day. If actual attendance on the day exceeds the confirmed count and moves into a higher pricing tier, the applicable tier rate will apply and the Client will be informed before the session begins. The Facilitator's count of participants present at the session is the authoritative record for billing purposes.

Travel: Travel is included within 15 miles of ZIP 63376 (St. Peters, MO). A flat travel fee of $25 applies for locations 16–25 miles away; $50 for 26–40 miles; custom rates apply beyond 40 miles. Travel fees are additive to the session fee and confirmed at booking.

In the event that a scheduled charge cannot be processed, Transformative Tides LLC will contact you directly to arrange an alternative payment method.

Chargebacks: Please contact erika@transformativetides.com regarding any billing concerns before initiating a chargeback. Unauthorized chargebacks may result in further action, including reporting to credit bureaus.

6. CANCELLATION, RESCHEDULING, AND REFUNDS

Cancellation with more than 72 hours notice: Full deposit refunded. Cancellation between 48 and 72 hours notice: Deposit retained. No further charge. Cancellation with less than 48 hours notice: Deposit retained plus 50% of the remaining balance is due. Same-day cancellation: Full session fee retained.
Rescheduling: Permitted with more than 72 hours notice at no charge. No-Show: Full session fee is forfeited.

No refunds will be issued for sessions already rendered. If I am unable to provide the service as described, you will be refunded for any services paid but not delivered.

7. FACILITATOR-INITIATED CANCELLATIONS

If I must cancel or reschedule due to unforeseen circumstances, you will be promptly notified via email or text. Every effort will be made to reschedule at a mutually convenient time or, where rescheduling is not possible, to issue a full refund.

8. PHOTOGRAPHY AND RECORDING

Transformative Tides LLC will not photograph or record participants, the session, or any area of the Client's premises without advance written permission from the Client. The Client's own photography and recording policies take precedence. Please inform the Facilitator of any relevant restrictions before the session date.

The Facilitator may photograph session setup and instruments only, prior to participant arrival, unless the Client's premises policies prohibit photography of any kind. Please inform the Facilitator of any such restrictions before the session date.

The Client may record or photograph the session for internal organizational purposes in accordance with their own media and employee consent policies. Any use of recordings or images featuring the Facilitator in external or promotional materials requires prior written consent from Transformative Tides LLC.

Participants are asked to refrain from personal audio or video recording during sessions out of respect for the shared space and others present.

9. CONFIDENTIALITY

All organizational and booking information shared in connection with this session is held in confidence in accordance with the Transformative Tides Privacy Policy at www.transformativetides.com, except where disclosure is required by law. Transformative Tides LLC will not disclose the identity of client organizations in marketing or promotional materials without prior written consent. The Facilitator will take reasonable care to avoid capturing any confidential or proprietary organizational information in session setup photography.

10. INTELLECTUAL PROPERTY

All session content, methods, and materials provided by Transformative Tides LLC are the intellectual property of Erika Hood / Transformative Tides LLC and may not be reproduced, distributed, or shared without prior written consent.

11. DISPUTE RESOLUTION AND ARBITRATION

Informal Resolution: If any dispute arises, please contact us at erika@transformativetides.com to attempt informal resolution first.

Arbitration Agreement: If disputes remain unresolved, you and Transformative Tides LLC agree to binding arbitration under the rules of the American Arbitration Association (AAA).

Location: Arbitration will be held within 50 miles of O'Fallon, Missouri.

Costs: Each party shall bear their own costs and expenses related to arbitration and shall split the cost of the arbitrator equally.

Note: By confirming your booking you are waiving your right to a jury trial and agreeing to resolve any disputes through binding arbitration.

Remedies: The sole remedy available in arbitration is a refund for services paid but not rendered. No punitive or consequential damages will be awarded.

12. GENERAL PROVISIONS

Governing Law and Venue: These Terms are governed by the laws of the State of Missouri. Any legal action must be brought in the County of Saint Charles, Missouri.

No Assignment: This booking may not be transferred or assigned to another individual or organization without prior written consent from Transformative Tides LLC.

Severability: If any provision of these Terms is found unenforceable, the remaining provisions remain in full effect.

Force Majeure: Neither party shall be liable for delays or non-performance caused by circumstances beyond reasonable control, including acts of God, pandemics, severe weather including tornado warnings or unsafe travel conditions, or civil disturbances.

Entire Agreement: These Terms constitute the entire agreement between you and Transformative Tides LLC with respect to the session described herein, superseding all prior understandings.

Updates: Transformative Tides LLC reserves the right to update these Terms at any time. The current version is available at www.transformativetides.com.

CONFIRMING YOUR BOOKING

This agreement is available on the Transformative Tides website, through the inquiry form, by email, and at the time of payment.

By confirming your booking, you confirm that you have read, understood, and agree to these Terms and Conditions, and that you are authorized to do so on behalf of your organization.
